Non-Disclosure Agreement (NDA)

This Mutual Non-Disclosure Agreement (the "Agreement") is entered into as of 2026-09-20 (the "Effective Date") by and between:

Disclosing Party: LoudonClear LLC, represented by Jonathan Loudon, referred to as "Licenser" in the project plan, with an address at [LoudonClear LLC Address], and

Receiving Party: [Recipient Name], referred to as "Recipient", with an address at [Recipient Address].

1. Purpose

The Parties wish to explore a potential business relationship, specifically concerning the "Scalable SaaS Platform: Location-Based Deals App" project (the "Project"). In connection with this Purpose, each Party may disclose to the other Party certain Confidential Information.

2. Definition of Confidential Information

"Confidential Information" means any and all information, in any form or medium, disclosed by the Disclosing Party to the Receiving Party, whether before or after the Effective Date, concerning the Disclosing Party or the Project. This includes business information, technical information, and proprietary ideas or unpublished knowledge related to the Project.

Confidential Information shall not include information that is or becomes publicly available through no fault of the Receiving Party; was already known to the Receiving Party; is independently developed without reference to the Confidential Information; or is rightfully obtained from a third party without restriction.

3. Obligations of Receiving Party

  • Hold the Confidential Information in strict confidence and take all reasonable measures to protect it.
  • Not disclose the Confidential Information to any third party without prior written consent.
  • Use the Confidential Information solely for evaluating the business relationship related to the Project.
  • Limit access to only those who need to know and are bound by confidentiality obligations.

4. Term

This Agreement shall commence on the Effective Date and shall continue for a period of two (2) years. The obligations regarding non-disclosure shall survive the termination of this Agreement.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona.
